Terms & Conditions

These Terms & Conditions (“Agreement”) set out the services provided by SPS: Store, Pack & Ship (“SPS”, “we”, “our”, or “us”) to our clients (“you” or “your”). By using our services, you agree to these terms.

 

1. Scope of Services

SPS provides storage and packing services, including:

  • Storage of client inventory.

  • Packing and preparation of parcels for shipping.

  • Returns handling.

  • Optional services such as relabelling, kitting, or other agreed packing tasks.

Note: We do not manage order picking from multiple SKUs; our service is focused on packing, handling, and preparing parcels for shipment.

 

2. Client Responsibilities

You agree to:

  • Deliver inventory to our facility properly labelled and ready for packing.

  • Provide clear packing instructions, product information, and shipping details.

  • Ensure goods comply with all legal and carrier requirements.

  • Maintain insurance for your products while stored with us (recommended).

 

3. Prohibited & Restricted Items

We do not accept:

  • Dangerous goods or hazardous materials.

  • Perishable or temperature-sensitive items.

  • High-value items unless pre-approved in writing.

  • Liquids, aerosols, or lithium batteries unless compliant with carrier regulations.

We reserve the right to refuse any items that do not meet these requirements.

 

4. Service Levels

  • Packing and shipment preparation is completed according to your instructions and agreed schedule.

  • Returns will be processed within 2 business days of receipt.

  • SPS is not responsible for delays or damages caused by carriers after handover.

 

5. Fees & Billing

  • Storage fees: charged monthly per box/shelf.

  • Packing services: charged per order/item as agreed.

  • Packaging materials: charged at cost or as agreed.

  • Shipping: charged at carrier cost + handling fee.

  • Extras (relabelling, special packing requests, returns): charged as quoted.

Invoices are issued monthly with 7-day payment terms. Late payments may result in suspension of services.

 

6. Liability & Risk

  • Goods remain your property at all times.

  • SPS stores and handles goods with reasonable care and security measures in place.

  • SPS does not accept responsibility for loss, theft, or damage beyond proven negligence.

  • Clients are responsible for insuring their own stock while in our care.

  • SPS is not liable for delays, damages, or losses once parcels are handed to carriers.

 

7. Term & Termination

  • This agreement continues on a month-to-month basis.

  • Either party may terminate with 30 days’ written notice.

  • Outstanding invoices must be paid before stock is released.

 

8. Indemnity

You agree to indemnify SPS against claims, damages, or expenses arising from:

  • Non-compliant goods supplied.

  • Misleading or inaccurate instructions or product information.

  • Breach of these Terms & Conditions.

 

9. Governing Law

This Agreement is governed by the laws of South Australia, Australia. Any disputes will be subject to the jurisdiction of the courts of South Australia.
